In particular, other than as disclosed below, we have no prior or existing contracts, 
negotiations or relationships with Directors or Employees of the MDGIF, Transaction 
Adviser and their other agents or persons, officials, representatives, advisors or 
consultants, nor is any former or present director, shareholder, or any other individual
